This Terms of Service Agreement is a legally binding contract between you and Timon Financials Inc. governing your access to and use of our platform and financial services available at www.usetimon.com.

SECTION 01 — WELCOME TO TIMON FINANCIALS

1. Welcome to Timon Financials

Timon Financials Inc. ("Timon", "we", "us", or "our") is a financial technology company that provides modern financial tools and services designed to empower individuals and businesses to manage, move, and grow their money. Our platform ("Platform") includes web and mobile applications, APIs, and all associated features and services accessible at www.usetimon.com.

By creating a Timon account, accessing our Platform, initiating any transaction, or otherwise interacting with any of our services, you ("User", "you", or "your") agree to be fully bound by this Agreement, as well as our Privacy Policy and any other policies incorporated herein by reference.

Important: You must not use any of our Services if you do not agree to all terms stated herein. Continued use of the Platform constitutes your ongoing acceptance of any updates to this Agreement.

For certain services, Timon may publish additional terms and conditions or supplementary policies which are incorporated into this Agreement. In the event of a conflict between supplementary terms and this Agreement, the supplementary terms will control with respect to that specific service.

SECTION 02 — DEFINITIONS


2. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

"Account" or "Timon Account" — The registered profile you create to access our Services.

"Balance" or "Timon Balance" — Funds held within your Timon Account in one or more supported currencies.

"Services" — All products, features, and financial tools offered by Timon via the Platform.

"Transaction" — Any transfer, payment, conversion, deposit, or withdrawal processed via the Platform.

"Virtual Card" — A digitally-issued payment card linked to your Timon Account.

"Partner Banks" — Licensed banking institutions that provide underlying banking infrastructure for Timon's services.

"Content" — All text, images, logos, graphics, software, data, and other materials made available via the Platform.

"User Data" — Any information you submit to or that is collected by Timon in connection with your use of the Services.

SECTION 03 — ELIGIBILITY & REGISTRATION

3. Eligibility & Registration

3.1 Age Requirement

Our Platform and Services are intended exclusively for individuals who are 18 years of age or older. By registering an account, you confirm that you meet this requirement. Timon does not knowingly provide Services to individuals under the age of 18, and we reserve the right to terminate any account upon discovering a violation of this restriction.

3.2 Account Registration

To access Timon's Services, you must create an account by providing accurate, complete, and current information, including but not limited to:

• Your legal name and date of birth

• A valid government-issued identification

• A functional email address and phone number

• Your country of residence and, where applicable, business details

We reserve the right to decline any registration or suspend any account at our sole discretion, including where we determine that a user presents a financial, legal, or regulatory risk.

3.3 Account Updates

You are responsible for keeping your account information current and accurate at all times. If any information changes — including your legal name, address, financial institution, or business structure — you agree to update your account or notify us within 14 days of such change.

3.4 One Account Policy

Each individual may maintain only one personal Timon Account. Operating multiple accounts without written authorization from Timon constitutes a material breach of this Agreement and may result in account suspension or termination.

SECTION 04 — IDENTITY VERIFICATION (KYC/AML)

4. Identity Verification (KYC/AML)

Timon is required by applicable law to conduct customer due diligence and Know Your Customer ("KYC") checks, as well as Anti-Money Laundering ("AML") screenings, on all users and any parties involved in transactions. By using our Services, you consent to and agree to cooperate fully with these requirements.

4.1 Verification Process

We may, at any time and without prior notice, request the following from you:

• Government-issued photo identification (passport, driver's license, national ID)

• Proof of address (utility bill, bank statement, or similar document)

• Source of funds documentation

• Business registration documents (for business accounts)

• Any other information reasonably required to verify your identity or the nature of your transactions

4.2 Credit and Background Checks

You authorize Timon to obtain one or more credit reports, background checks, or commercially available database reports about you, from time to time, in connection with establishing, maintaining, reviewing, or renewing your account, or in connection with any dispute arising under this Agreement.

Warning: Failure to provide requested verification information, or the provision of false or misleading information, may result in the immediate suspension or termination of your account and may be reported to relevant authorities in accordance with applicable law.

SECTION 05 — ACCOUNT SECURITY

5. Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password, PIN, one-time passcodes (OTPs), and any two-factor authentication (2FA) credentials associated with your Timon Account.

5.1 Your Obligations

• Never share your password, PIN, or OTP with anyone, including Timon staff

• Enable two-factor authentication (2FA) on your account

• Use a unique, strong password that is not used on other services

• Secure any device from which you access Timon using a PIN, biometric lock, or password

• Log out of your account after each session on shared or public devices

5.2 Security Incidents

You agree to notify Timon immediately if you suspect or become aware of any of the following:

• Unauthorized access to or use of your account

• Your login credentials have been compromised, lost, or stolen

• Your registered email address or phone number has been compromised

• Unauthorized or suspicious transactions appear in your account history

• Any person is requesting your password, OTP, or security details

Critical: Timon will never ask you for your password, full card number, or OTP via email, phone, or chat. Any such request should be treated as fraudulent and reported to us immediately.

Timon reserves the right to suspend, freeze, or restrict your account at any time if we detect or suspect unauthorized access, fraudulent activity, or a breach of account security, with or without prior notice. Timon shall not be liable for any losses resulting from the unauthorized use of your account where such use resulted from your failure to maintain adequate security practices.

SECTION 06 — OUR SERVICES

6. Our Services

Timon provides a suite of financial tools and services designed to help you manage your money. The specific services available to you may vary based on your location, account type, and verification status. Timon's Services may include, but are not limited to:

• Multi-currency Timon Balances and account management

• Bank transfers (ACH, Wire, SEPA, SWIFT) — domestic and international

• Currency conversion at live market rates

• Send and receive payments globally

• Virtual card issuance and management

• Bill payment services and invoice generation

• Expense management and business controls

• Team member access and permission management (business accounts)

• API access for third-party integrations

• High-yield savings options and financial analytics

Timon reserves the right to add, modify, suspend, or discontinue any Service or feature at any time, with or without notice. We will make reasonable efforts to notify you of material changes to Services that affect your account.

6.1 Service Limitations

Timon holds the sole authority to refuse to process any transaction, accept any user, or provide any Service at its discretion. Timon is not a licensed bank; banking services are provided by third-party Partner Banks. Funds held in your Timon Balance are not deposits with Timon and are not insured by the FDIC or equivalent deposit protection schemes unless explicitly stated. All customer funds are safeguarded and not used for Timon's operating expenses or corporate purposes.

SECTION 07 — TRANSACTIONS & PAYMENTS

7. Transactions & Payments

7.1 Deposits & Funding

You may fund your Timon Account through approved methods including bank transfers (ACH, wire, SEPA, SWIFT), debit cards, or credit cards, subject to availability in your region. We will credit your Timon Balance upon confirmation of receipt of funds. We may require documentation confirming the source of deposited funds for regulatory compliance, and you agree to provide such documentation promptly upon request.

7.2 Sending & Receiving Money

You are responsible for ensuring that all transaction details — including recipient name, account number, routing number, and amount — are accurate before confirming any transaction.

Irreversible Transactions: Once a transaction has been processed and confirmed, it generally cannot be reversed or cancelled. Timon will not be held liable for transactions carried out in accordance with your instructions. Verify all details before confirming.

7.3 Transaction Limits

Timon imposes certain limits on transactions, including daily, weekly, and monthly limits on deposits, withdrawals, and transfers. These limits vary based on your account verification level, account history, and applicable regulations. Current limits are available within your account dashboard.

7.4 Currency Conversion

Timon offers currency conversion between supported currency pairs at rates determined by Timon, which may include a spread above the interbank exchange rate. Exchange rates are provided at the time of conversion and are not guaranteed in advance. Any conversion fee will be disclosed prior to completion of a conversion transaction.

7.5 Reversals, Chargebacks & Refunds

In certain circumstances, transactions may be subject to reversal, including fraud-related reversals, chargebacks, or reversals required by law. You agree to cooperate with Timon in any reversal investigation. If a chargeback or reversal results in a negative balance on your account, you agree to immediately repay such amounts to Timon.

SECTION 08 — FEES & CHARGES

8. Fees & Charges

By using Timon's Services, you agree to pay all applicable fees as described on our Pricing Page (www.usetimon.com/pricing), which is incorporated into this Agreement by reference. Fees may include but are not limited to:

• Transaction processing fees on domestic and international transfers

• Currency conversion fees (spread included in exchange rate)

• Card issuance and maintenance fees

• Withdrawal and payout fees

• Account inactivity fees (where applicable)

• Third-party fees passed on from banks or payment networks

8.1 Fee Changes

Timon reserves the right to revise our fee structure at any time. We will provide at least 24 hours' notice of any fee changes via email or in-app notification. Your continued use of the Services following such notice constitutes acceptance of the updated fees.

8.2 Invoice Disputes

If you have a good-faith dispute with any charge or invoice issued by Timon, you must notify us in writing within 48 hours of receipt, specifying the disputed amount and the basis for the dispute. Failure to dispute within this timeframe shall be deemed acceptance of the charge.

8.3 Taxes

You are solely responsible for determining, collecting, reporting, and remitting any taxes applicable to your use of our Services or any transactions conducted through your Timon Account. Timon is not responsible for determining the tax implications of any transaction and does not provide tax advice.

SECTION 09 — VIRTUAL CARDS

9. Virtual Cards

Timon may issue virtual payment cards ("Virtual Cards") linked to your Timon Account in conjunction with our Partner Banks or card networks. Virtual Cards are subject to the additional Card Terms provided at issuance.

9.1 Eligibility & Issuance

Virtual Card eligibility is determined by Timon at our sole discretion and may be contingent on account verification status, geographic location, and compliance with this Agreement. Timon reserves the right to decline to issue or to revoke a Virtual Card at any time without notice.

9.2 Usage & Controls

Virtual Cards may be subject to spending limits, category restrictions, and geographic restrictions set by Timon or required by applicable card network rules. You are responsible for all transactions made using your Virtual Card until you report unauthorized use to Timon.

9.3 Card Suspension & Termination

Your Virtual Card may be immediately suspended or terminated if:

• You initiate two or more consecutive transactions declined due to insufficient funds

• Suspicious or fraudulent activity is detected on your card

• Your Timon Account is suspended or terminated

• You violate any provision of this Agreement or applicable Card Terms

If you request a replacement card following termination or deletion of a previous card, a card issuance fee may apply as set forth on our Pricing Page.

SECTION 10 — PROHIBITED ACTIVITIES

10. Prohibited Activities

You agree not to use Timon's Platform or Services for any purpose that is unlawful, fraudulent, harmful, or otherwise prohibited by this Agreement. The following activities are strictly prohibited:

Financial Crimes

• Money laundering, terrorist financing, or structuring transactions to evade reporting thresholds

• Tax evasion or fraudulent transactions

• Operating pyramid schemes, Ponzi schemes, or unlicensed financial services

Fraud & Misrepresentation

• Providing false identity or verification documents

• Impersonating another person or entity

• Unauthorized use of another person's payment credentials or processing fraudulent chargebacks

Unauthorized System Use

• Attempting to access systems or data without authorization

• Reverse engineering, scraping, or deploying bots against the Platform

• Introducing malware, viruses, or harmful code

Regulatory Violations

• Transactions involving sanctioned persons or jurisdictions

• Processing payments for prohibited goods or services under applicable law

• Activities violating applicable financial regulations in your jurisdiction

Consequences: Engaging in any prohibited activity may result in immediate account termination, forfeiture of funds, and reporting to law enforcement and/or regulatory authorities. Timon fully cooperates with all lawful requests from law enforcement agencies.

SECTION 11 — INTELLECTUAL PROPERTY

11. Intellectual Property

All content available through the Timon Platform — including text, graphics, logos, icons, images, data, software, and the overall design of the Platform — is the exclusive property of Timon Financials Inc. or its licensors and is protected by applicable copyright, trademark, patent, and other intellectual property laws.

11.1 License to Use

Subject to your compliance with this Agreement, Timon grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or authorized business purposes. This license does not include the right to:

• Reproduce, copy, or distribute any Platform content without prior written consent

• Modify, adapt, translate, or create derivative works based on any Platform content

• Reverse-engineer, decompile, or disassemble any software forming part of the Platform

• Use Timon's name, logo, or branding without prior written authorization

• Sublicense, sell, or commercially exploit any part of the Platform

11.2 API & Developer License

For users accessing Timon via our APIs or developer toolkit, we grant a revocable, non-exclusive, non-transferable license to use the Timon API solely as documented and for the permitted purpose of integrating with our Services. Upon expiration or termination of this Agreement, all licenses granted hereunder cease immediately.

11.3 User Content

Any content or materials you submit to Timon (including feedback, reviews, or suggestions) shall be deemed non-confidential and you grant Timon a perpetual, worldwide, royalty-free license to use, reproduce, and incorporate such content for service improvement and operational purposes.

SECTION 12 — PRIVACY & DATA PROTECTION

12. Privacy & Data Protection

Your privacy is critically important to Timon. Our collection, use, and protection of your personal information is governed by our Privacy Policy (www.usetimon.com/privacy), which is incorporated into this Agreement by reference. By using our Services, you consent to the collection, processing, and sharing of your personal information as described therein.

12.1 Data Retention

We retain your personal and transactional data for as long as necessary to provide our Services, comply with our legal obligations, resolve disputes, and enforce our agreements. Even after account closure, we may retain certain information as required by applicable law — typically 5–7 years depending on jurisdiction.

12.2 Electronic Communications Consent

By creating a Timon Account, you consent to receiving electronic communications from Timon, including account statements, transaction confirmations, security alerts, and legal notices. You agree that all communications sent electronically satisfy any legal requirement for written communication. You may opt out of non-essential communications via your account settings.

SECTION 13 — THIRD-PARTY SERVICES

13. Third-Party Services & Links

Timon's Services rely on third-party service providers, including Partner Banks, card networks, identity verification providers, payment processors, and cloud infrastructure providers. Your use of such third-party services may be subject to their own terms and privacy policies.

Timon is not responsible for the acts, omissions, products, or services of any third party. Any issues arising from third-party services should be resolved directly with the applicable third party, though Timon will provide reasonable assistance where possible.

Our Platform may contain links to external websites or services provided for your convenience only. Timon does not endorse and is not responsible for the content or practices of any linked third-party website.

SECTION 14 — DISCLAIMERS & LIMITATION OF LIABILITY

14. Disclaimers & Limitation of Liability

14.1 Disclaimer of Warranties

THE TIMON PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. TIMON DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.

14.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TIMON'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO TIMON IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

IN NO EVENT SHALL TIMON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, EVEN IF TIMON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14.3 Force Majeure

Timon shall not be held liable for any failure or delay in performing its obligations resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, terrorism, cyberattacks, bank failures, pandemics, or interruptions to internet or utility services.

SECTION 15 — INDEMNIFICATION

15. Indemnification

You agree to defend, indemnify, and hold harmless Timon Financials Inc. and its directors, officers, employees, agents, partners, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of or inability to use the Services

• Your violation of any provision of this Agreement

• Your violation of any applicable law or regulation

• Any transaction you initiate through the Platform

• Any content you submit to the Platform

• Your infringement of any third-party intellectual property or other rights

• Any misrepresentation made by you to Timon or any third party

Timon reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Timon's defense of that claim.

SECTION 16 — SUSPENSION & TERMINATION

16. Suspension & Termination

16.1 Termination by You

You may close your Timon Account at any time by contacting our support team or following the account closure process in your account settings. Pending transactions must be completed or resolved before account closure is finalized. Any Timon Balance remaining at the time of closure will be transferred to your designated bank account, subject to applicable fees and compliance requirements.

16.2 Termination or Suspension by Timon

Timon reserves the right to suspend, restrict, or terminate your account or access to any Service at any time, with or without prior notice, for any reason, including but not limited to:

• Violation of this Agreement or any associated policy

• Engaging in any prohibited or fraudulent activity

• Failure to complete or maintain required identity verification

• Reasonable belief that your account poses a security, fraud, or compliance risk

• Regulatory requirements or instructions from law enforcement

• Extended periods of account inactivity

16.3 Effect of Termination

Upon termination of this Agreement: (a) all licenses granted to you hereunder shall immediately cease; (b) you must immediately discontinue all use of the Services; (c) all provisions of this Agreement which by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnification obligations, and dispute resolution provisions.

SECTION 17 — DISPUTE RESOLUTION

17. Dispute Resolution

17.1 Informal Resolution

Before initiating any formal dispute, you agree to first contact Timon's support team at [email protected] and attempt to resolve the dispute informally. Timon will make reasonable efforts to resolve your concern within 30 days of receiving your written notice.

17.2 Binding Arbitration

If informal resolution fails, you and Timon agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be resolved through final and binding arbitration administered by a mutually agreed-upon arbitration body, rather than in a court of law. The arbitration shall be conducted in English on a confidential basis.

Class Action Waiver: YOU AND TIMON EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. All disputes must be brought on an individual basis only. This class action waiver is a material and non-severable part of this Agreement.

17.3 Exceptions

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute through arbitration.

SECTION 18 — GOVERNING LAW

18. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration under Section 17, you consent to the exclusive personal jurisdiction of the state and federal courts located in Delaware.

Timon's Services may not be available in all jurisdictions. You are responsible for ensuring that your use of the Services complies with all applicable local laws and regulations in your jurisdiction.

SECTION 19 — CHANGES TO THESE TERMS

19. Changes to These Terms

Timon reserves the right to modify, update, or replace any part of this Agreement at any time at our sole discretion. When we make material changes, we will:

• Update the "Last Updated" date at the top of this document

• Notify you via email to the address registered to your account

• Display a prominent in-app notification for a reasonable period

Changes will take effect 30 days after the notification date for material changes, or immediately upon posting for non-material updates such as corrections or clarifications. Your continued use of the Services after the effective date of any amendment constitutes your acceptance of the updated terms.
